Welcome to Jualab! These Terms and Conditions (“Terms”) govern your access to and use of our online learning platform, including any content, functionality, and services offered on or through Jualab (the “Platform”).

Please read the Terms carefully before using the Platform. By using the Platform, you accept and agree to be bound and abide by these Terms and our Privacy Policy, found at https://jualab.com/privacy . If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Platform.

These Terms are legally binding and form a contract between you and Jualab, a company registered in Kenya, concerning your use of the Platform.

1. User Rights and Responsibilities

This section outlines your rights and duties when using the Jualab platform.

1.1 Eligibility

To use the Platform, you must be at least 18 years old or have attained the age of majority in Kenya. If you are under 18, you may use the Platform only with the involvement and consent of a parent or guardian. By using the Platform, you represent and warrant that you meet these eligibility requirements.

1.2 Account Creation and Security
  • You are responsible for providing accurate and complete information when creating your account.

  • You are solely responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.

  • You agree to notify Jualab immediately of any unauthorized use of your account or any other breach of security.

  • Jualab will not be liable for any loss or damage arising from your failure to comply with this section.

1.3 Permitted Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Platform in any way that violates any applicable national, county, or international law or regulation.

  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Platform, or which, as determined by us, may harm Jualab or users of the Platform or expose them to liability.

  • Introduce viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.

1.4 User Content
  • You are solely responsible for any content you submit, post, or display on or through the Platform (“User Content”).

  • You retain all rights in, and are solely responsible for, the User Content you post to the Platform.

  • By posting User Content on or through the Platform, you grant Jualab a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, store, display, reproduce, modify, create derivative works, perform, and distribute your User Content on the Platform for the purposes of operating, developing, providing, and using the Platform.

  • You agree that your User Content will not violate any third-party rights, including intellectual property rights, privacy rights, or contractual rights.

1.5 Code of Conduct

All users, including students and educators, are expected to maintain a respectful and professional demeanor. Harassment, hate speech, discrimination, or any form of abusive behavior will not be tolerated.

2. Intellectual Property Rights

2.1 Platform Content
  • The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Jualab , its licensors, or other providers of such material and are protected by Kenyan and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

  • These Terms permit you to use the Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as generally and incidentally permitted through the Platform’s functionality.

2.2 Course Content
  • Educators retain all intellectual property rights in their course content (“Course Content”) submitted to the Platform.

  • By uploading Course Content, educators grant Jualab a license to host, display, and market their courses, and to permit students to access and use the Course Content as described in these Terms.

  • Students are granted a limited, non-exclusive, non-transferable license to access and view the Course Content for which they have paid all required fees, solely for their personal, non-commercial, educational purposes through the Platform.

  • Students explicitly agree not to reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, adapt, edit, create derivative works of, or otherwise use any Course Content without the express written permission of the educator and/or Jualab.

2.3 Reporting Intellectual Property Infringement

If you believe that any content on the Platform infringes your copyright or other intellectual property rights, please notify us immediately at Jualab@outlook.com. We will investigate and take appropriate action in accordance with the Copyright Act, 2001 (Cap 130) of Kenya and other relevant intellectual property laws.

3. Payment Terms

This section covers pricing, payment methods, and processing for courses on Jualab.

3.1 Pricing
  • Prices for courses on the Platform are set by Jualab or by the individual educators, in accordance with our pricing policy.

  • All prices are quoted in Kenya Shillings (KES) unless otherwise stated and are exclusive of any applicable taxes, such as Value Added Tax (VAT), as required by Kenyan law.

3.2 Payment Methods
  • We accept various payment methods, including but not limited to M-Pesa, debit cards, and credit cards.

  • You agree to provide accurate and complete payment information.

  • By making a purchase, you authorize us or our third-party payment processors to charge your selected payment method for the total amount of your purchase.

3.3 Payment Processing
  • Payment processing services are provided by third-party payment processors. You acknowledge and agree that Jualab is not responsible for any issues or disputes arising from the services provided by these third parties, provided that Jualab has taken reasonable steps to ensure their reliability.

  • All transactions are subject to the terms and conditions of the respective payment processor.

4. Refund Policy

This section outlines Jualab’s policy regarding refunds for students and the implications for educators.

4.1 Student Refunds
  • We want you to be satisfied with your learning experience. If you are not satisfied with a course, Jualab offers a 14-day refund guarantee for eligible course purchases.

  • To be eligible for a refund, you must submit a refund request within 14 days of your purchase.

  • Refunds will not be granted if:

    • More than 14 days have passed since the purchase date.

    • A significant portion of the course content has been consumed or downloaded.

    • There is evidence of abuse of the refund policy, such as multiple refund requests for similar courses or suspicious activity.

  • All refunds will be processed back to the original payment method, where possible, within a reasonable timeframe of 5 business days.

4.2 Educator Payments and Refunds
  • Educators are paid a share of the revenue generated from their courses, as per the agreement between the educator and Jualab.

  • In the event of a student refund, the corresponding amount will be deducted from the educator’s earnings.

  • Further details on educator payment terms and refund implications are outlined in the Educator Agreement.

5. Dispute Resolution

This section details the process for resolving any disputes arising from your use of Jualab.

5.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

5.2 Amicable Resolution
  • In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform, the parties agree to first attempt to resolve the dispute amicably through good faith negotiations.

5.3 Mediation and Arbitration
  • If an amicable resolution cannot be reached within 60 days, the parties agree to submit the dispute to mediation in accordance with the rules of a recognized mediation center in Kenya (e.g., Nairobi Centre for International Arbitration – NCIA).

  • If mediation fails, the dispute shall be referred to and finally resolved by arbitration under the Arbitration Act, 1995 (Cap 49) of the Laws of Kenya. The number of arbitrators shall be one. The seat of the arbitration shall be Nairobi, Kenya. The language of the arbitration shall be English.

5.4 Class Action Waiver

You agree that any disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.

6. Data Protection and Privacy

We are committed to protecting your personal data in compliance with the Data Protection Act, 2019 of Kenya. Our Privacy Policy https://jualab.com/privacy explains how we collect, use, store, and disclose your personal information. By using the Platform, you consent to such processing and you warrant that all data provided by you is accurate.

7. Limitation of Liability

To the fullest extent permitted by Kenyan law, in no event shall Jualab, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Platform; (ii) any conduct or content of any third party on the Platform; (iii) any content obtained from the Platform; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

8. Indemnification

You agree to defend, indemnify, and hold harmless Jualab, its affiliates, licensors, and service providers, and its respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Content, any use of the Platform’s content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

9. Changes to Terms and Conditions

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Platform thereafter. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.
